Terms of Service

1. Who You Are Contracting With

Provenance is operated and sold by Trent Palacio ("we", "us", "Provenance"). These Terms of Service form a binding agreement between you and Trent Palacio. If you are accepting on behalf of a company, you confirm you have authority to bind that company; if you are accepting as an individual, you confirm you are of legal age.

2. Acceptance of Terms

By accessing, subscribing to, or continuing to use Provenance, you agree to be bound by these terms. If you do not agree, do not use the service.

3. Description of Service

Provenance is lease-record software that helps commercial property owners maintain a permanent record of lease facts, source documents, and derived obligations. It includes document upload, AI-assisted extraction, human verification workflows, obligation calculations, alerts, and export tools.

4. Account Registration

You must provide accurate and complete information and keep it current. You are responsible for keeping your credentials confidential and for all activity under your account, including the collaborators you invite and the property scope you grant them.

5. Licence and Restrictions

We grant you a limited, non-exclusive, non-transferable right to use Provenance within the plan you have selected. You may not reverse engineer the service, resell or redistribute it, or circumvent technical limits such as lease counts or seat limits.

6. Acceptable Use and Misuse

You agree not to use Provenance for any unlawful purpose; for fraud, spam, or misrepresentation; to infringe the intellectual property or privacy rights of others; to upload malware or otherwise interfere with the security or operation of the service; or to probe, scan, or scrape the service or its infrastructure.

7. AI-Assisted Extraction

Provenance uses automated and AI systems to read the documents you upload and propose lease facts with page citations. Proposals are not truth until a human verifies them. Outputs may be incomplete or inaccurate and are not legal, accounting, tax, or investment advice; you are responsible for reviewing them before relying on them, and for having the rights to upload the documents you submit.

You may not use the service to generate unlawful, infringing, or deceptive content. We may remove or restrict content, refuse or filter outputs, and suspend accounts to enforce these terms. Rights holders may contact us at support@provenance.holdings to request takedown of infringing material; repeat infringement results in termination.

8. Your Data and Our Intellectual Property

The organization that creates a Provenance workspace retains ownership of its lease data, documents, and facts, and grants us a limited licence to host and process that content solely to provide the service. We retain all rights in the Provenance software, documentation, and branding.

9. Payment, Billing, and Taxes

Provenance is sold on a monthly or annual subscription based on the number of leases under management. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Payment, billing frequency, renewal, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms. Subscriptions renew automatically until cancelled. You may upgrade or downgrade at any time; changes take effect at the next billing period unless stated otherwise at checkout. See our Refund Policy for our 30-day money-back guarantee.

10. Service Level

We work to keep Provenance available and accurate, but we do not guarantee that the service will be uninterrupted, error-free, or free of data loss. Maintenance, third-party outages, and events beyond our reasonable control may affect availability.

11. Suspension and Termination

You may cancel your subscription at any time. We may suspend or terminate access for material breach of these terms, non-payment, security or fraud risk, or repeated or serious policy violations. On termination your workspace remains readable for 30 days so you can export your register, documents, citations and history. You may delete it yourself during that window; otherwise we delete it at the end of it, with encrypted backups ageing out within a further 35 days. The permanence Provenance promises is a promise about the record inside a live workspace — facts are appended and superseded, never silently overwritten — and not an undertaking to retain your data after you ask us to delete it.

12. Warranties and Liability

Provenance is provided "as is". To the fullest extent permitted by law we disclaim all implied warranties, including merchantability and fitness for a particular purpose. Provenance is not a substitute for legal, accounting, or property management advice. We are not liable for indirect, consequential, or special damages, including lost profits, lost data, or loss of goodwill, and our aggregate liability is limited to the fees you paid in the twelve months preceding the claim. Nothing in these terms excludes liability for fraud, death, or personal injury where that exclusion is prohibited by law.

13. Indemnity

You will indemnify us against claims arising from the content you upload, your unlawful use of the service, or your breach of these terms.

14. Governing Law and Disputes

These terms are governed by the laws of the State of Florida, United States, and the courts located there have exclusive jurisdiction over any dispute, without regard to conflict-of-law rules.

15. Assignment and Changes

You may not assign these terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We may update these terms from time to time, and continued use after a change constitutes acceptance of the revised terms.
